These Terms of Use (“Terms”) govern your access to and use of the websites, user accounts, product-discovery tools, recommendations, comparisons, merchant information, saved shopping features, and other services provided by Gold Tarpon, LLC (“Gold Tarpon,” “we,” “us,” or “our”), collectively, the “Services.”

By creating an account, or by otherwise affirmatively accepting these Terms where acceptance is requested, you agree to these Terms.

PLEASE READ SECTION 17 CAREFULLY. IT REQUIRES MOST DISPUTES BETWEEN YOU AND GOLD TARPON TO BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT AND INCLUDES A WAIVER OF JURY TRIALS AND CLASS OR REPRESENTATIVE ACTIONS, SUBJECT TO THE EXCEPTIONS DESCRIBED THERE.

1. What Gold Tarpon Does

Gold Tarpon is a consumer shopping-research, product-discovery, comparison, and recommendation service. Merchant purchasing and affiliate referrals are currently inactive; provisions concerning future commercial activity apply only if that activity is later activated.

Gold Tarpon may help consumers:

Gold Tarpon is not ordinarily the manufacturer, distributor, retailer, or seller of the third-party products displayed through the Services.

Unless Gold Tarpon expressly states otherwise for a particular transaction, Gold Tarpon is not a party to the transaction between you and a third-party merchant.

2. Eligibility

You must be legally capable of entering into a binding agreement to create a Gold Tarpon account.

The Services are intended for a general audience and are not directed to children under 13.

If you use the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Browsing and User Accounts

You may use core Gold Tarpon shopping and product-discovery features without creating an account.

Gold Tarpon may require an account when you want us to persist information for you, including saved products, recommendations, comparisons, preferences, or shopping research.

When creating an account, you agree to provide accurate information reasonably required to establish and maintain the account.

You are responsible for safeguarding your account credentials and for activity occurring through your account to the extent permitted by applicable law.

You must notify Gold Tarpon if you reasonably believe your account has been compromised.

Gold Tarpon may establish reasonable technical, security, authentication, and account-management requirements.

4. Shopping Recommendations

Gold Tarpon's recommendations are designed to assist consumers with shopping decisions.

Recommendations may be based on information including:

A recommendation does not constitute a guarantee that a particular product will meet every consumer's needs or preferences.

You remain responsible for reviewing the product, merchant terms, specifications, installation requirements, compatibility, dimensions, warranties, safety information, and other information you consider material before purchasing.

5. Product Information

Gold Tarpon attempts to provide useful and accurate product information, but product information may originate from manufacturers, merchants, distributors, data providers, public sources, or other third parties.

Specifications, descriptions, images, model numbers, features, availability, prices, promotions, shipping information, warranties, and other product information may change without notice.

Gold Tarpon does not warrant that all third-party product information is complete, current, or error-free.

If information displayed by Gold Tarpon differs from information presented by the merchant at the time of purchase, you should review the merchant's current information before completing the transaction.

6. Prices and Availability

Prices and availability displayed through Gold Tarpon may change between the time information is obtained or displayed and the time you visit a merchant.

The price, availability, taxes, fees, shipping charges, discounts, financing terms, and other transaction terms presented by the merchant when you complete your purchase control the transaction.

Gold Tarpon does not guarantee that a displayed product will remain available or that a displayed price will remain in effect.

7. Third-Party Merchants and Transactions

When you follow a Gold Tarpon link to a third-party merchant, you are leaving Gold Tarpon and interacting with an independent business.

The merchant, not Gold Tarpon, is responsible for matters relating to its transaction with you, including:

Any dispute concerning a purchase from a third-party merchant generally must be addressed with that merchant under the merchant's applicable terms and policies.

Nothing in these Terms limits any rights you may have directly against a merchant or manufacturer under applicable law.

8. Affiliate Compensation and Commercial Relationships

Gold Tarpon may have affiliate, referral, advertising, sponsorship, or other commercial relationships with merchants and other businesses.

Gold Tarpon may receive compensation when you click certain links, purchase products, complete qualifying transactions, or take other qualifying actions.

Gold Tarpon will provide disclosures concerning material affiliate or commercial relationships where appropriate.

Gold Tarpon may offer links to more than one merchant for a product. The availability, order, presentation, or commercial status of merchants may change.

Gold Tarpon's Privacy Policy separately explains how referral and attribution information may be collected and used.

9. Recommendation Integrity

Gold Tarpon's objective is to help consumers identify products relevant to their needs while generating commercially valuable consumer relationships and merchant referrals.

Unless clearly disclosed otherwise, compensation available to Gold Tarpon from a merchant is not intended, by itself, to establish that a product is suitable for a consumer.

Gold Tarpon may consider merchant-related factors when presenting merchant options after a product has been identified, including price, availability, merchant relationship, fulfillment information, commercial arrangements, or other relevant considerations.

Gold Tarpon may modify its recommendation methodologies as the Services evolve.

10. Saved Information

Registered users may be able to save products, recommendations, comparisons, preferences, and other shopping research.

Gold Tarpon does not guarantee that saved information will remain available indefinitely.

Products may be discontinued, merchant relationships may change, prices and specifications may change, and features of the Services may be modified.

Gold Tarpon may remove obsolete, unavailable, unlawful, corrupted, or otherwise inappropriate saved information when reasonably necessary.

You should independently confirm current product and merchant information before making a purchase based on previously saved research.

11. Marketing Communications

By providing an email address in connection with a Gold Tarpon account, you acknowledge that Gold Tarpon may send marketing and promotional communications as described in the Gold Tarpon Privacy Policy.

You may unsubscribe from marketing communications using the unsubscribe mechanism provided in those communications.

Unsubscribing from marketing does not terminate your account and does not prevent Gold Tarpon from sending communications reasonably necessary to administer, authenticate, secure, or service your account or respond to your requests.

12. Acceptable Use

You may not use the Services to:

13. Intellectual Property and Restrictions on Use

The Services and all original content and materials made available through Gold Tarpon, including without limitation text, written content, photographs, images, graphics, illustrations, videos, logos, icons, page designs, layouts, interfaces, software, code, databases, compilations, product organization, comparison presentations, recommendation systems and methodologies, and other Gold Tarpon-created materials (collectively, “Gold Tarpon Content”), are owned by Gold Tarpon, LLC or used by Gold Tarpon under license or other authorization and are protected by applicable copyright, trademark, trade secret, and other intellectual-property laws.

Except as expressly permitted by Gold Tarpon in writing or as otherwise permitted by applicable law, you may not copy, reproduce, republish, download, distribute, transmit, display, modify, adapt, translate, create derivative works from, sell, license, commercially exploit, scrape, extract, systematically collect, or otherwise use Gold Tarpon Content.

You may not use automated systems, bots, crawlers, scrapers, data-mining tools, artificial-intelligence systems, machine-learning systems, or similar technologies to access, collect, reproduce, extract, index, train on, or otherwise use Gold Tarpon Content or data without Gold Tarpon's prior written authorization, except to the extent such restriction is prohibited by applicable law.

You may not remove, obscure, or alter copyright notices, trademarks, attribution notices, watermarks, or other proprietary-rights notices appearing on or in connection with Gold Tarpon Content.

Product names, manufacturer names, merchant names, trademarks, photographs, images, specifications, and other third-party materials displayed through the Services may be owned by their respective owners. Their appearance on Gold Tarpon does not transfer ownership of those materials to Gold Tarpon or to users of the Services.

Subject to these Terms, Gold Tarpon grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and Gold Tarpon Content solely for your personal, non-commercial shopping purposes.

No other rights are granted by implication, estoppel, or otherwise. All rights not expressly granted are reserved by Gold Tarpon, LLC and the applicable third-party rights holders.

14. Account Suspension and Termination

You may stop using the Services at any time and may request account deletion as described in the Privacy Policy.

Gold Tarpon may suspend, restrict, or terminate access to an account or the Services when reasonably necessary because of:

Where appropriate and reasonably practicable, Gold Tarpon may provide notice.

Sections that by their nature should survive termination—including intellectual-property, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions—will survive termination to the extent permitted by law.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

GOLD TARPON DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

GOLD TARPON DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, AVAILABILITY, OR CONTINUED VALIDITY OF THIRD-PARTY PRODUCT, PRICING, MERCHANT, OR OTHER INFORMATION.

PRODUCT RECOMMENDATIONS ARE SHOPPING ASSISTANCE AND ARE NOT A WARRANTY, GUARANTEE, PROFESSIONAL ADVICE, OR SUBSTITUTE FOR REVIEWING CURRENT MANUFACTURER AND MERCHANT INFORMATION.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLD TARPON, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICES, INCLUDING LOSS OF DATA, PROFITS, BUSINESS OPPORTUNITIES, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLD TARPON IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF INDEPENDENT THIRD-PARTY MERCHANTS, MANUFACTURERS, AFFILIATE NETWORKS, OR OTHER THIRD PARTIES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLD TARPON'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO GOLD TARPON FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) $100.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

17. DISPUTE RESOLUTION — BINDING INDIVIDUAL ARBITRATION

PLEASE READ THIS SECTION CAREFULLY

THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

Except for disputes expressly excluded below, you and Gold Tarpon agree that disputes, claims, or controversies arising out of or relating to these Terms, the Services, your Gold Tarpon account, or your relationship with Gold Tarpon will be resolved through binding arbitration on an individual basis rather than through a lawsuit in court.

Informal Resolution First

Before commencing arbitration, the party asserting a claim must provide the other party with written notice describing the dispute and the requested relief and provide a reasonable opportunity of at least 30 days to attempt to resolve the dispute informally.

Notices to Gold Tarpon must be sent to the contact information provided in Section 22 and clearly identify the communication as a notice of dispute.

This requirement does not prevent either party from seeking relief when waiting would cause a claim to expire or where immediate relief is otherwise legally necessary.

Arbitration Administrator and Rules

Arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules then in effect, as modified by these Terms to the extent permitted.

If AAA is unavailable or declines to administer a dispute and the parties cannot agree upon a substitute administrator, a court of competent jurisdiction may appoint an arbitration administrator or arbitrator consistent with applicable law and the intent of this Section.

Individual Proceedings Only

YOU AND GOLD TARPON AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE PROCEEDING AGAINST THE OTHER.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim, except where applicable law requires otherwise.

Jury Trial Waiver

TO THE EXTENT A DISPUTE IS SUBJECT TO ARBITRATION, YOU AND GOLD TARPON EACH WAIVE THE RIGHT TO HAVE THAT DISPUTE DECIDED BY A JUDGE OR JURY IN COURT.

Small-Claims Exception

Either party may bring an individual claim in a small-claims court of competent jurisdiction if the claim qualifies for that court and remains an individual action.

Intellectual-Property and Emergency Relief

Either party may seek temporary, preliminary, or other appropriate injunctive relief from a court of competent jurisdiction when reasonably necessary to prevent actual or threatened infringement, misappropriation, unauthorized access, misuse of intellectual property, data, systems, or other rights where immediate judicial relief is legally appropriate.

Seeking such limited relief does not waive arbitration of other arbitrable claims.

Arbitration Fees and Costs

Arbitration fees and costs will be allocated in accordance with the AAA Consumer Arbitration Rules, applicable AAA fee schedules, and applicable law.

Gold Tarpon will pay the administrative fees, arbitrator compensation, and other arbitration costs that the applicable AAA rules require a business to pay.

Each party will ordinarily bear its own attorneys' fees and expenses except where applicable law, these Terms, or an arbitration rule authorizes an award of fees or expenses.

Nothing in these Terms prevents an arbitrator from awarding attorneys' fees, costs, sanctions, or other relief where authorized by applicable law or applicable arbitration rules.

To the extent permitted by applicable law and the applicable arbitration rules, Gold Tarpon may seek appropriate costs, fees, sanctions, or other relief if an arbitrator determines that a claim or counterclaim was filed for purposes of harassment, was patently frivolous, was brought in bad faith, or otherwise satisfies the applicable legal standard for such relief.

Location and Method

Arbitration may be conducted through documents, telephone, videoconference, or another method permitted by the applicable AAA rules.

Any in-person hearing will occur at a location determined under applicable AAA Consumer Arbitration Rules and applicable law unless the parties agree otherwise.

Authority of Arbitrator

The arbitrator may award any individual remedy or relief available under applicable law that is within the arbitrator's authority.

Judgment on the arbitration award may be entered in any court having jurisdiction.

Severability of Arbitration Provisions

If a particular provision of this Section is determined to be unenforceable, it will be severed or limited to the minimum extent necessary unless doing so would fundamentally alter the parties' agreement to individual arbitration.

If the prohibition on class or representative arbitration is determined to be unenforceable as to a particular claim or request for relief and cannot lawfully be severed while preserving individual arbitration, that claim or request for relief will proceed in a court of competent jurisdiction while arbitrable portions proceed in arbitration to the extent permitted by law.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Gold Tarpon, LLC and its members, managers, officers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of another person's legal rights.

This provision does not require a consumer to indemnify Gold Tarpon for Gold Tarpon's own unlawful conduct or for liability that cannot lawfully be shifted to the consumer.

19. Governing Law

Except to the extent federal law or another law that cannot contractually be displaced applies, these Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

The Federal Arbitration Act governs the interpretation and enforcement of Section 17 to the extent applicable.

For disputes that are not subject to arbitration and are not properly brought in small-claims court, the parties consent to jurisdiction in an appropriate state or federal court located in Georgia, subject to applicable law concerning jurisdiction and venue.

20. Changes to the Services and These Terms

Gold Tarpon may modify the Services and these Terms as the Services evolve. We will update the effective date and provide additional notice or obtain acceptance when required by applicable law. Changes do not override rights that cannot lawfully be waived.

21. General Provisions

If a provision is unenforceable, it will be limited or severed to the extent permitted by law, subject to Section 17. The remaining provisions continue in effect. Failure to enforce a provision does not waive it. These Terms and applicable additional terms constitute the agreement concerning the Services, subject to rights that cannot lawfully be excluded.
